1. Introduction
Welcome to ConvoNook (“Company”, “we”, “our”, or “us”). These Terms and Conditions (“Terms”) govern your use of our AI chatbot services (“Services”), including access to the chatbot widget, customer portal, and related support. By purchasing a plan, registering for a trial, or using our Services, you (“Client”, “Customer”, “you”, “your”) agree to be bound by these Terms.
If you do not agree with these Terms, you must not use our Services.
2. Services Provided
- We provide customized AI chatbots trained on the Client’s own content, such as documents, FAQs, and website pages.
- Each chatbot is delivered as a widget or integration for the Client’s website or platform.
- Service availability and features depend on the chosen subscription plan (Starter, Pro, Enterprise).
3. Account Registration & Use
- Clients must provide accurate information when registering (e.g., company details, contact info).
- You are responsible for maintaining the confidentiality of your account credentials and any two-factor authentication used.
- You agree not to misuse the Services, attempt to copy, reverse engineer, or resell them.
4. Pricing & Payment
- Subscription fees are charged monthly in advance, with a one-time setup fee per chatbot.
- Payments are processed through third-party payment providers (e.g., card processors). We are not responsible for any issues caused by these providers.
- You are responsible for ensuring payment details are accurate and up to date.
5. Refunds & Cancellations
- Due to the digital nature of the Services, refunds are not available for partial months or the current billing cycle once Services are delivered.
- You may cancel your subscription at any time before your next billing cycle to avoid further charges.
- Upon cancellation, your chatbot and related data will be removed from our systems within 14 days.
6. Client Content & Data
- You retain all rights and ownership of the content you upload (e.g., documents, FAQs, website data).
- By providing such content, you grant us a limited license to use, store, and process it solely for the purpose of delivering the Services.
- We will delete your data within 14 days of cancellation or upon written request, unless legal obligations require longer retention.
7. Intellectual Property
- The ConvoNook platform, software, chat widget, and underlying AI remain our exclusive property.
- Clients are granted a non-exclusive, non-transferable license to use the chatbot for the duration of their subscription.
8. Service Levels & Support
- We aim to provide reliable Services and timely support.
- Response times (72h, 48h, 2–4h depending on plan) are indicative targets, not guaranteed SLAs.
- Occasional downtime may occur due to maintenance, third-party dependencies, or technical issues.
9. AI Limitations & Liability
- The chatbot generates responses based on the Client’s content and AI models. While we aim for accuracy, we do not guarantee that all responses will be correct, complete, or appropriate.
- The chatbot should not be relied on for legal, medical, or financial advice.
- To the maximum extent permitted by law, we are not liable for any loss, damage, or claims arising from chatbot responses, downtime, or misuse of Services.
10. Privacy
- Our handling of Client and end-user data is described in our Privacy Policy.
- By using the Services, you consent to such processing.
11. Termination
- We may suspend or terminate your account if you breach these Terms or misuse the Services.
- You may terminate your subscription at any time through your account portal or by contacting us.
12. Governing Law
- These Terms are governed by and construed in accordance with the laws of England and Wales.
- Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
13. Changes to Terms
We may update these Terms occasionally. Material changes will be notified via email or our website. Continued use of the Services after updates constitutes acceptance.
